Compliance and Conditions

1. Scope and Duration
   • These general terms and conditions apply to all offers, orders, rental agreements, deliveries, and payments where DPO is the supplier or subcontractor, unless modified by a written agreement between the parties.
   • Customer’s indication of specific or general terms in tender material, orders, purchase conditions, and the like are only deemed agreed upon if expressly agreed upon in writing.

2. Offers
   • Any offer is made subject to errors, defects, and other discrepancies.
   • Any offer expires automatically 30 calendar days from the date of the offer unless stated otherwise and can be withdrawn or amended within this period.

3. Rental and Loan
   • DPO provides the rented items as agreed with the customer.
   • The ownership of the rented and loaned items remains with DPO throughout the agreed rental and loan period
   • The customer is liable for damages or loss beyond normal wear and tear of the rented items. If repair is possible, it will be done at the customer’s expense by DPO.

4. Conclusion of Agreement
   • An agreement for the sale and delivery of products is deemed entered into when DPO sends a written order confirmation after receiving an order from the customer.
   • The order confirmation or the final agreement, along with these general terms and conditions, constitute the legal relationship between the customer and DPO.

5. Prices
   • Current prices are specified in the order confirmation or the final agreement and are repeated in the invoice.
   • Prices may be changed with one month’s notice. All prices are exclusive of customs duties, VAT, and other taxes unless otherwise agreed.

6. Returns/Order Changes/Cancellation
   • Purchased goods cannot be returned after delivery is completed.
   • Cancellation or changes to the order can only be made with DPO’s written acceptance and payment of a fee of 50% of the net prices confirmed in the order.

7. Delivery and Installation
   • Prices listed for equipment are excluding delivery and installation unless otherwise agreed.
   • Delivery is EX Works (EXW) from DPO’s warehouse, Incoterms 2000, unless otherwise agreed.
8. Warranty
   • DPO guarantees for a period of 2 years from dispatch that all goods produced function according to DPO’s applicable warranty conditions.

9. Changes to Products
   • DPO reserves the right to make changes to design, construction, and dimensions without prior notice.

10. Payment
    • Payment must be made upfront within 8 days before the delivery invoice date unless otherwise agreed in writing.
      In case of payment after the due date, default interest at 1.5% per commenced month will be charged.

11. Retention of Title
    • The sold and delivered goods remain the property of DPO until payment has been made in full
12. Deficiencies and Claims
    • Claims must be made immediately. The delivered goods are considered accepted by the customer unless notice of deficiencies is received within 8 days of delivery.
13. Technical Information
    • Product information, illustrations, drawings, technical data, and materials in catalogs are solely indicative.
14. Limitation of Liability
    • DPO has no liability for defects or delays beyond what is stated above.

15. Force Majeure
    • Circumstances such as labor disputes, fire, war, mobilization, and other events beyond the parties’ control result in exemption from liability if they prevent performance.

16. Assignment
    • The customer may not assign its rights and obligations to another party without DPO’s written consent.

17. Processing of Personal Data
    • As part of the customer relationship, DPO processes a range of personal data for purposes including delivery, invoicing, and marketing, in accordance with data protection legislation.

18. Governing Law and Venue
    • Any dispute between DPO and the customer shall be governed by Danish law and brought before the Court in Copenhagen.
